Marketplace Membership Terms

Effective Date: 12/16/2024 (membership tiers updated September 2026)

1. Acceptance of Terms

By using the Service, you confirm that you have read, understood, and agree to these Terms, as well as any related policies. If you do not accept these Terms, you are prohibited from accessing or using the Service.

2. Scope of the Service

The Service provides access to a carefully curated database of businesses for sale across the United States, offering users a streamlined platform to search, evaluate, and connect with opportunities tailored to their acquisition or investment needs. Proprietary off-market opportunities, when offered, are presented separately from public marketplace listings.

✔ Search and filter business listings by specific criteria.

✔ Review listing information provided by advisors/consultants.

✔ Request acquisition analyses for businesses of interest (membership entitlements apply).

✔ Request a call with a consultant about a business listing.

✔ Access buyer intelligence and mandate-matching tools.

3. Client Relationship

By accessing the business listing service (“Service”) provided by Unity Acquisitions LLC (“Unity Acquisitions,” “we,” “our,” or “us”), you are deemed a client (“Client”). You acknowledge that any buyer-seller connection facilitated through the Service results from our proprietary resources and efforts.

Platform membership pays for acquisition intelligence and workflow tools. Transaction economics (including any success fee on a closed deal) are governed by your separate written agreement with Unity Acquisitions, not by marketplace membership alone.

While we do not act as agents for listings on our platform, we may contact third-party advisors, agents, or consultants (“Third Parties”) regarding your inquiries. We reserve the right to reference you as our “Client” when communicating with these Third Parties to secure information or facilitate transactions.

Your personal information is never sold. We only contact Third Parties for listing details after you make a specific request.

4. Use of the Service

Your use of the Service must be lawful. Specifically, you must not:

❌ Engage in fraudulent or illegal activities.

❌ Use automated tools, bots, or scraping.

❌ Reproduce or redistribute Service content.

❌ Disrupt or damage Service functionality.

5. Membership

The buyer platform uses four membership levels. Value is acquisition intelligence and routing priority:

✔ Free — $0. Browse marketed listings and create a buyer profile.

✔ Advantage — $150 per 30-day period. Mandate tools, briefs, and acquisition analyses on marketed listings.

✔ Intelligence — $300 per 30-day period. Deeper research, alerts, and pipeline workspace.

✔ Priority — $500 per 30-day period. Highest routing priority when qualified mandates overlap on an off-market opportunity, subject to any written arrangement on that deal.

Entitlements are described on the Membership page. Paid periods are 30 days, anchored to the first paid date, with proration when the tier changes.

6. Billing and Payment

✔ Paid memberships bill in advance for each 30-day period on your billing anchor date. Tier upgrades or downgrades may be prorated for the unused portion of the current 30-day cycle while preserving that anchor date, as shown at checkout.

✔ Payments are non-refundable except where required by law. It is your responsibility to ensure accurate payment details.

7. Cancellation Policy

✔ Cancellation requests must be submitted at least 48 hours before your next billing date to avoid being charged for the subsequent cycle.

✔ You can manage membership through your account Membership settings.

8. Intellectual Property

✔ All content and technology associated with the Service are the property of Unity Acquisitions LLC or its licensors.

✔ Unauthorized reproduction, modification, or distribution is strictly prohibited.

9. Limitation of Liability

✔ Unity Acquisitions LLC is not liable for indirect or incidental damages arising from your use of the Service, including financial losses.

10. Refund Policy

Due to the nature of digital services provided by Unity Acquisitions LLC, membership fees are generally final once processed, except where required by law. See section 6 for billing and cancellation.

11. License and Permitted Use

✔ Unity Acquisitions LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.

✔ Copying, distributing, or modifying the Services without permission is prohibited.

12. User Content

✔ Users retain ownership of content they submit but grant Unity Acquisitions LLC a license to use it to operate and improve the Services, as described in our Privacy Policy.

13. Privacy and Data Security

✔ Our collection, use, and protection of your personal information are governed by our Privacy Policy.

14. Disclaimers and Limitation of Liability

✔ The Services are provided "as is" and "as available," without warranties of any kind.

✔ Total liability is limited to the fees paid by the user in the preceding 12 months.

15. Indemnification

✔ Users agree to indemnify and hold Unity Acquisitions LLC harmless from claims arising from their use of the Services or violation of these Terms.

16. Governing Law and Dispute Resolution

✔ These Terms are governed by the laws of South Carolina, United States.

✔ Disputes will be resolved through binding arbitration under the American Arbitration Association’s rules where permitted by law.
