A written mandate is the filter. Membership is the queue. When several qualified buyers can own the same privately sourced company, Unity does not blast the file. Review order and a short window decide who reads first.

What a window is

Time to read the file — not an auction clock

A review window is the period a qualified mandate is invited to read a matched off-market opportunity before the next eligible tier is invited. It exists so a serious buyer can engage ownership, test fit against a thesis, and decide to pursue or pass without a public process forming around the owner.

Exclusivity is a written arrangement on a named situation. Absent that paper, another qualified mandate may see the same file after the window. That is controlled distribution. It is not a promise that you are the only buyer who will ever be told.

Score the mandate

Sector, earnings band, geography, and structure are scored before any name moves. A file that misses the thesis is not routed to fill a queue.

Order by membership

When more than one qualified mandate fits, review order is Priority, then Intelligence, then Advantage, then Free. Fit still applies inside each tier.

Open the window

The first eligible tier receives a defined period to read the file, request an NDA path, and decide. Silence is a pass.

Pass or pursue

A pass returns the opportunity to the next qualified mandate. A pursue stays inside NDA and a controlled introduction — not a marketed teaser.

Windows are measured in business days and can compress when an owner’s timeline is short, or extend when a written exclusivity arrangement is in place. The figures below are the standard cycle used when several qualified mandates overlap on the same off-market file.

Platform membership is separate from any transaction success fee. Paying a tier does not purchase exclusivity and does not guarantee that a file will match your mandate.

Not a public auction

The owner is not shopped across a list while the window is open. Names, addresses, and operating detail stay behind authorization.

Not automatic exclusivity

A single-buyer presentation happens only with a written exclusivity arrangement on that opportunity. The default is ordered review.

Not a substitute for fit

Tier controls order among qualified buyers. A Priority member whose thesis misses the file does not jump a better-fit mandate in a lower tier.
